1. Acceptance of Terms

By accepting a quotation, placing an order or instructing Typecraft to proceed with a project, the Client agrees to these Terms and Conditions.

Quotations, project specifications and any additional terms agreed in writing will form part of the agreement between Typecraft and the Client. Where a specific agreement differs from these Terms and Conditions, the agreed terms will take precedence for that project.

2. Quotations and Charges

All prices will be detailed in the quotation provided by Typecraft. Unless otherwise stated, quotations are valid for 30 days from the date of issue. Typecraft reserves the right to review or withdraw a quotation after this period.

Any changes to the agreed specification, quantities, materials, finishes or scope of work may result in additional charges. Where possible, these will be agreed with the Client before any additional work is undertaken.

All prices will be quoted on the basis stated in the quotation, including any applicable VAT, delivery or installation charges.

3. Artwork, Proofs and Approval

Where applicable, Typecraft will provide the Client with artwork, proofs or samples for review and approval before production begins.

The Client is responsible for carefully checking all artwork and proofs, including spelling, wording, dates, images, layout, colours, sizes and other specifications, before giving approval.

Once approval has been given, Typecraft will proceed based on the approved artwork or specification. Any subsequent amendments may incur additional charges and could affect the agreed turnaround time.

Typecraft cannot accept responsibility for errors or omissions in artwork that have been approved by the Client, except where the error has been introduced by Typecraft after approval.

4. Production, Turnaround and Delivery

Typecraft will make reasonable efforts to complete all work within the estimated timescale agreed with the Client. Any stated turnaround or delivery date is an estimate unless expressly confirmed as a guaranteed date in writing.

Production times will generally commence once all required artwork, content, specifications, approvals and payments have been received.

Delays caused by late approvals, changes to specifications, missing content or other matters outside Typecraft’s reasonable control may affect the agreed completion date. Typecraft will notify the Client of any significant delays and provide an updated timescale where possible.

Where products are to be collected, the Client will be notified when the order is ready.

Delivery arrangements and any associated charges will be confirmed in the quotation or order confirmation. The Client is responsible for providing accurate delivery details and ensuring that suitable arrangements are in place to receive the goods.

5. Product Specifications and Variations

Typecraft will produce goods and provide services in accordance with the agreed quotation, approved artwork and specifications.

Due to the nature of printing and manufacturing processes, slight variations in colour, finish, material, texture or dimensions may occur. Colours displayed on computer screens and other electronic devices may not accurately represent the finished printed product.

Where a particular colour match, material, finish or dimension is essential, this should be agreed with Typecraft in advance and, where appropriate, confirmed by an approved physical sample.

Any tolerances or variations that are material to a particular project should be specified in the quotation.

6. Payment Terms

If an account is held, invoices are payable within 30 days.  Cash customers will be required to pay prior to delivery or on collection.

Typecraft accepts payment by bank transfer or credit card, with payment details provided on the relevant invoice.

Where an invoice remains unpaid after its due date, Typecraft reserves the right to charge interest and recover eligible costs in accordance with applicable late-payment legislation.

Typecraft may suspend further work, production or the release of completed goods where payment is overdue, subject to any applicable legal obligations and the terms agreed with the Client.

7. Additional Expenses

Any additional expenses necessary to complete a project, including specialist materials, external services, delivery, installation or other agreed costs, will be discussed with the Client in advance wherever reasonably possible.

Typecraft will seek the Client’s approval before incurring additional costs that are not included in the original quotation, unless otherwise agreed in writing.

8. Cancellation and Termination

If the Client wishes to cancel an order or project, they must notify Typecraft in writing at the earliest convenience.

Where an order is cancelled after work has commenced, the Client may be responsible for reasonable costs already incurred, work completed and any non-recoverable expenses, subject to applicable consumer rights and the terms of the agreement.

For bespoke, personalised or made-to-order products, cancellation rights may differ depending on the nature of the order and the circumstances in which it was placed.

If Typecraft needs to cancel or suspend a project, it will notify the Client and explain the reason. Any refund or payment due will be dealt with in accordance with the agreement and applicable law.

Nothing in this section limits any statutory cancellation rights available to consumers.

9. Client Responsibilities and Supplied Materials

The Client is responsible for ensuring that all text, images, logos, artwork, specifications and other materials supplied to Typecraft are accurate, suitable for the intended purpose and provided in a usable format.

The Client must ensure they have the necessary rights and permissions to use any materials supplied to Typecraft, including photographs, illustrations, fonts, logos and other copyrighted content.

The Client is also responsible for ensuring that the materials and instructions supplied do not infringe the rights of others or breach applicable laws.

Typecraft reserves the right to decline work where supplied content is unlawful or where the Client cannot demonstrate the necessary rights or permissions.

10. Copyright and Intellectual Property

Unless otherwise agreed in writing, the Client retains ownership of the original materials, artwork and intellectual property they supply to Typecraft.

Any original designs, artwork or creative materials produced by Typecraft remain the intellectual property of Typecraft until full payment has been received. Following full payment, the Client will receive the agreed rights to use the final approved artwork or design for the purpose for which it was commissioned, unless otherwise agreed in writing.

Any transfer or licence of copyright will be subject to the terms agreed for the particular project. Third-party materials, including fonts, stock images and licensed content, remain subject to their respective licence conditions.

Typecraft may request permission from the Client to photograph or display completed projects for its portfolio, website or social media. Such permission will be obtained separately and will not affect the Client’s ownership or agreed usage rights.

11. Complaints and Faulty or Incorrect Work

Typecraft aims to provide products and services in accordance with the agreed specifications and to a high standard.

If a Client believes that an order is faulty, damaged or does not match the agreed specification, they should contact Typecraft  within 5 working days, providing details of the issue and photographs where appropriate.

Typecraft will investigate the matter and, where necessary, discuss an appropriate resolution with the Client.

Any remedy will depend on the circumstances and the Client’s applicable statutory rights. Nothing in these Terms and Conditions limits or excludes any rights that cannot legally be excluded.

12. Liability

Typecraft will exercise reasonable care and skill in providing its services and producing its goods.

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any consumer rights that cannot legally be restricted.

For business Clients, any agreed limitations of liability should be set out in the quotation or a separate written agreement and will be subject to applicable law.

13. Events Beyond Our Control

Typecraft will not be responsible for delays or failure to perform its obligations where these arise from circumstances beyond its reasonable control, such as severe weather, transport disruption, supplier failures, power outages or other unforeseen events.

Where such circumstances affect an order or project, Typecraft will inform the Client as soon as reasonably practicable and discuss any necessary changes to the agreed arrangements.

14. General

These Terms and Conditions, together with the relevant quotation and any written agreements, form the basis of the agreement between Typecraft and the Client.

If any provision of these Terms and Conditions is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

These Terms and Conditions are governed by the laws of England and Wales, without affecting any mandatory legal rights that apply to the Client.

15. Signage & Fitting

Permissions and consents. The Client is responsible for obtaining all planning permission, advertisement consent, landlord consent and any other third-party approvals needed for the signs or graphics and their installation. Typecraft is not responsible for checking whether these are required. Typecraft may begin work on the basis that the Client has obtained them, and is not liable for any delay, cost or loss arising from a failure to obtain them.

Site access and condition. The Client must provide safe, clear and timely access to the installation site, and must make sure that the surfaces and structures to be fitted to are suitable and structurally sound. Typecraft may charge for wasted visits, delays or additional work caused by restricted access or unsuitable site conditions.

Work at height. Installation may involve work at height, including the use of ladders, access platforms or other equipment. Typecraft will carry out such work in accordance with applicable health and safety requirements. The Client must tell Typecraft of any hazards on site, such as overhead cables, fragile roofs or asbestos, before work begins.

Subcontractors. Typecraft may use subcontracted fitters to carry out all or part of an installation. Typecraft remains responsible to the Client for work carried out by its subcontractors, subject to these Terms and Conditions.

Completion. Installation is complete when the signs or graphics have been fitted in accordance with the agreed specification. The Client should inspect the work on completion and report any issues in line with clause 11.
